Of these, exactly 1/2 or 34 shares are controlled
directly by the Coburn family. (Dick 2, Jess 2, Cameron 30)
My last count indicated that 334 shares are
outstanding thus 34 shares meet the requirement for the 1/10 quorum for the
election of directors. Imagine that!
I suggest that this split allows the Coburn family
to effectively select board members at will. If I can control the board I
can control the corporation.
Don't worry about an external buyout.
And if you have any plans to ameliorate this
situation you better move fast.
My only thought is to put the stockholders
list into every members hand and beg them to save the club by tracking down
shares, buying them, and voting their shares.
